K1 Ventures Limited is a diversified investment company in Singapore which is originally engaged in engineering and anchorage repair activities. The company has invested in diverse sectors which include transportation leasing, education, oil and gas exploration, financial services and automotive retail. The company prefers to make investments through a mixture of debt and equity financing and will take a minority or controlling position based on each investment and such investments can be structured using is ability to invest across an entire capital structure, from senior dent to common equity.

The company has two operating segments: The Transportation Leasing segment and Investments segment. The Transportation segment represents Helm’s locomotive and railcar leasing business in North America. The Investment segment consists of its investment in quoted and unquoted investments. Its operating activities and investment activities are predominantly in the United Sates. 

History

K1 Ventures Limited Company was formerly known as Singmarine Shipyard (Private) Limited. It was incorporated on July 7, 1970. On July 8, 1987 the company was converted to a public limited company and changed its name to Singmarine Industries Ltd. in the year of 1997, in a Group-wide corporate exercise, it changed its name to Keppel Marine Industries Limited.

In 1999, in a further consolidation of Keppel Group’s marine business, the Company sold its marine-related business to Keppel Hitachi Zosen. It also divested its interest in Keppel’s listed companies. On 27 July 2000, it subsequently adopted the name K1 Ventures Limited and now it is known as an investment holding company.

In 2005 the company completed the acquisition of 80.1% of the issued shares in Helm Holding Corporation a cash consideration of US$110.5 million. It entered into a purchase agreement for the sale of its 99.9% owned subsidiary.

      

Dividend Announcement

14 February 2013, the company announced that the Board of Directors has recommended a tax exempt one-tier interim dividend of 1.0 cents per share. The dividend was paid to shareholders on April 4, 2013.

13 August 2013, it announced that the Board of Directors recommended a tax exempt one-tier final dividend of 2.0 cents per share, in respect of the financial year ended June 30, 2013 for approval by shareholders at the next Annual General Meeting to be convened.

The company has a market capitalization of 454.78 Million, EPS is 0.03, P/E ratio is 8.33 and the dividend yield is 14.29% at the annual dividend payout of 0.02.
